Board Charter


The Board of Directors of Bethanie governs with a Christian values based, progressive and accountable style. The Board’s governance emphasis is on:

  • Vision
  • Focus on the future whilst learning from the past and the present
  • Strategy more than administrative detail
  • Diversity of viewpoints rather than unanimity
  • Clear distinction between Board and Executive roles
  • Proactively rather than reactively
  • Outputs rather than internal work or inputs
  • Servant leadership approach.

The Board will strive to achieve its desired outputs by:


The Board will initiate and monitor governance policies.


The Board’s major focus will be on economic and social value and the management of risk.


The Board will make use of the expertise of Directors in order to reach a Board decision but not substitute those views for its collective judgement.


The Board will set an example of discipline in all Board duties, responsibilities and accountabilities.


The Board will orient new Directors and commit to professional development according to recommendations set down in the annual performance evaluation.


The Board may make use of external expertise in selecting new Directors according to its criteria.

Performance Management

The Board will continually evaluate company performance and will only intervene with the Chief Executive when a deviation is considered to be major or threatens Company well being.
